This Merchant Pilot Participation Agreement ("Agreement") is entered into between SurpPass Corporation ("SurpPass") and the merchant ("Merchant") participating in the SurpPass Merchant Pilot Program.
1. Pilot Program Purpose
The Merchant agrees to participate in SurpPass's pilot program to test and evaluate the SurpPass merchant platform and services. This pilot is designed to gather feedback and refine the platform before full commercial launch.
2. Pilot Duration
The pilot program will run for an initial period as determined by SurpPass, with the possibility of extension. SurpPass reserves the right to terminate the pilot at any time with reasonable notice.
3. Merchant Obligations
- Provide accurate and complete business information
- Actively use the SurpPass platform during the pilot period
- Provide regular feedback on platform functionality and user experience
- Report any technical issues or bugs encountered
- Maintain confidentiality of pilot program details
4. SurpPass Obligations
- Provide access to the SurpPass merchant platform
- Offer technical support during the pilot period
- Consider and respond to merchant feedback
- Maintain reasonable platform uptime and performance
5. Fees and Payment
During the pilot program, SurpPass may offer reduced fees or fee waivers. Standard commercial fees will apply after the pilot program concludes, unless otherwise agreed in writing.
6. Data and Privacy
Merchant data will be handled in accordance with SurpPass's Privacy Policy. Both parties agree to maintain the confidentiality of any proprietary information shared during the pilot.
7. Intellectual Property
All intellectual property rights in the SurpPass platform remain with SurpPass. Merchant retains all rights to their business data and content.
8. Limitation of Liability
As this is a pilot program, the platform is provided "as is" without warranties. SurpPass's liability is limited to the extent permitted by law.
9. Termination
Either party may terminate participation in the pilot program with written notice. Upon termination, Merchant will cease using the platform and return any confidential materials.
10. General Terms
This Agreement constitutes the entire agreement between the parties regarding the pilot program. Any modifications must be made in writing and signed by both parties.
